Baltic Property Trust Arista A/S transfers legal structure to Luxembourg

At the BPT Arista A/S extraordinary general meeting (EGM) in Copenhagen on the 30 October 2007 it was decided by unanimous vote to transfer the legal structure of BPT Arista A/S to a SICAV under SIF law with domicile in Luxembourg.

The Luxembourg SICAV structure is one of the most recognised fund structures in the world and thus more attractive for international investors than a Danish A/S. Overall Luxembourg will provide a more flexible level playing field for all investors, no matter where they hold residence.

The transfer will also allow for a more flexible capital structure, with an opportunity to increase the share capital and declare dividends on a group level.

From a general perspective the move from Denmark to Luxembourg will present advantages in the form of higher fiscal stability, extensive experience in international funds administration, high level of investor protection and the presence of experienced service providers in Luxembourg.

The transfer will take place through a sale of shares to a newly established Luxembourg company named BPT Arista S.A.. BPT Arista A/S will then be liquidated and investors will receive shares in BPT Arista S.A., which will be converted into a SICAV under SIF law.

The anticipated approval from CSSF is 1st. of January 2008.
